Responses in enforcement
Responses in regulatory enforcement processes
Short answer
- SEC, US
- Wells submission within four weeks 1
- CFTC, US
- At least 30 days, announced December 2025 3
- FINRA, US
- Wells call, notice and submission 4
- UK financial regulators
- At least 14 days to make representations 5
- European Commission, competition
- At least four weeks to answer a statement of objections 6
The common pattern
Enforcement processes share a step where the regulator states what it proposes and the subject answers on the record before a decision. The names differ: Wells notice and submission in the US 1, warning notice and representations under UK financial services law 5, and statement of objections and reply in EU competition law 6. In each case the reply is written, has a deadline and goes to the people who decide 1,56.
This step is not a finding. A Wells notice reports a preliminary staff determination 1. A UK warning notice states the action a regulator proposes to take 5. A statement of objections sets out objections, not a decision 6.
United States
The SEC Enforcement Manual of 24 February 2026 says staff tell the recipient the charges and relief under consideration and offer a written or video statement. The period is four weeks absent timing constraints, with written submissions typically capped at 40 pages 1. The basis is 17 CFR 202.5(c), which lets persons involved in investigations submit written statements to the Commission 2.
The CFTC announced on 1 December 2025 that its Wells submission period is a minimum of 30 days 3. FINRA's Regulatory Notice 09-17 of 18 March 2009 describes a Wells call, a confirming letter and a Wells submission reviewed by staff and the Office of Disciplinary Affairs 4.
United Kingdom
Section 387 of the Financial Services and Markets Act 2000 governs warning notices. A warning notice must be in writing, state the action proposed and give reasons. It must specify a reasonable period for representations, which may not be less than 14 days. The regulator may extend that period 5. Section 387 further requires the notice to say whether access to material under section 394 applies 5.
European Union competition cases
Commission Regulation (EC) No 773/2004 of 7 April 2004 governs procedure in EU antitrust cases. The statement of objections is notified in writing to each party 6. The Commission sets a time limit for written replies and is not obliged to take into account submissions that arrive late 6. Article 17 says that limit shall be at least four weeks, or one week in interim measures proceedings 6. A party may develop its arguments at an oral hearing if it asks for one in its written reply 6.
Comparing the reply windows
The windows below are the minimums or standard periods stated in each text. Each text leaves room for the regulator to set the period in a given case 1,56.
Common questions
Is a warning notice a final decision?
No. Under section 387 it states proposed action and invites representations before a decision 5.
Can the European Commission ignore a late reply?
Article 10 says it is not obliged to take into account submissions received after the time limit 6.
